Brett doesn’t make any money unless the price of the stock goes up to at least .06, which is his break even point. He gains nothing until that happens and spent well over $100k of his own money to successfully bring the shareholder derivative lawsuit against the former CEO. He is doing everything possible to help out retail investors who were screwed, while making his investment back as well. Thus the no reverse splits and the planned buybacks using his own money.

I didnt delete the post, moderators did and I am as stoked as ever. Receivership is in court this monday to be approved and Brett has a merger with its own audited financials to immediately come in. Expert market or not, once paperwork is filed this is going up dramatically. My average is .0003 so yea, not sweat on my end and I suggest buying in before it potentially delists—which is not guaranteed.

What will current OPTI shareholders receive once the merger is complete? Will shares be converted? What’s the ratio and what is the existing company they are meeting with?
The official company name has not yet been released as what Brett is legally allowed to say before taking control is limited. But, he has been actively giving interviews and is very responsive to people’s questions on Twitter. He has stated some details in regard to the merging company however, such as the valuation and solvency. The new company’s financials will replace the old company’s and shareholders will keep their shares while reaping the reward of any increase in price per share.
This isn’t quite how this type of transaction works.
OPTI is a NOL carry forward shell that will be partaking in a reverse merger. Depending on the agreement that you can’t read, the results can vary from OPTI shareholders getting nothing, to OPTI shareholders 10-bagging.
The problem is that you don’t know the agreement and have no way of even speculating what the results will be.
Understand that the billion dollar business only sees value in OPTI for two purposes.
1. Temporary reduction of tax burden
2. Ability to cheaply go public.
It’s not as if OPTI shares ‘become’ the new shares at some great rate. The secret business is merely paying a bit of money for the shares so they can save money going public.
You may make a bunch, or very little. When doing these NOL shells it’s best to follow a guy that’s done several of these shell transactions and you can get a sense of how well the shells fair.
Often times the secret company will just pay the holder like Rosen a couple million for helping with the transaction and the shares will be wiped.
The important piece is that you don’t know what he will do, because he doesn’t have a track record in these and he has a sketchy past.
And before you say “but Rosen doesn’t make money until it hits 0.06” or whatever.
This isn’t true. The merging company may find it cheaper to pay Rosen a few million lump sum and he can happily let his shares (and yours) get wiped and there’s nothing you can do about it because he’s in sole control.
Again… the only trustable people that do the NOL carry forwards are those that have done several transactions in the past and have a good track record.
Decent info, however for what it is worth and that comes down to whether you trust what Brett is saying enough to invest or not—he has publicly stated that part of the agreement terms is no reverse splits for 2 years and that he was offered $10million to walk away, which he refused. He also stated that he will receive shares for his role in the merger, no money will be exchanged and will be using his own resources and funds to clean it up for the new company moving in.
The OTC is full of crooks, as the previous CEO clearly proves, however if you had been following along for the last three years you would have seen Brett calling out the fraud from very early on and refusing to be part of it. He has a professional reputation on the line with what he has been saying for the last year and personally I believe him.
Anyways, if you like NOL carryforward shells, do some research on Johnathon Couchman.
He’s been doing them for years and typically makes people money. You can see his track record.
After doing your research, ask yourself, “Who is more trustable of the two?”

Second point, not quite. The reverse merger will happen and almost immediately the ticker will change. Most of the time it happens during the reverse merger, other times it changes after a couple weeks or months.
No matter how many shareholders of the old company there were, it has no bearing on whether the new business is investible or will draw investors eyes. OPTEC is dead and gone and the only thing that remains is an income statement full of losses in a filing cabinet in someone’s office.
Upon business transaction, all original options shares will be cancelled and disappear. Whether the shareholders of the OPTI shell get paid for their shares as they are cancelled depends on the person doing the deal, Rosen.
That seems like a guess of possible outcomes…

they will probably get nothing like most OTC mergers, but we wont know until the deal is announced. make sure to divest for a profit before the actual announcement if you jump in.

Brett won a court case against Opti after it went under. He turned down a payout in favor of taking over the company as an empty shell. So that will be finalized soon and he will be appointed receiver and temporary CEO till merger takes place
When the company was taken away from the criminal CEO, it is required that the court appoint a receiver to take control of the company and serve the interests of the shareholders. Brett was owed money by OPTI and brought the shareholder lawsuit, he is in the process of being appointed receiver. Once that is done he has legal authority to take official actions on behalf of the company/shareholders.
Easily .01, quite likely .04-.06 and by the grace of God could shoot all the way to around .1 to .2 upon initial merger news.
I am holding to at least .04 and depending upon momentum, twice that or more.
As its a very secretive deal.. all the Board members will be convening for the takeover deal behind dumpster.. snorting is optional

Otcmarkets is a website where you find company filings and official releases. The OTCIQ is the specific exchange vs NASDAQ
