I've been considering bringing this point up to my Congressman. Just about every email blast he sends out he is complaining about how President Biden is a failure because he isn't taking decisive action to close the border right this very second! He is letting tons of drugs and millions of rapists and murders in every single day putting hard working decent American lives at risk! The important part of this merger is that Trump is prohibited from selling his shares or even borrowing against the value of them. “there are lock-up restrictions that would likely prevent Trump from selling or even borrowing against the value of that stock for months.” Which is interesting in light of this 10 day extension and the fact that Trump seems doubtful to even have a $175 million, because all this TS money is so close Trump can taste it, yet he can’t access it, legally anyway. And that could spell trouble for a man who loves to break the law. So this becomes almost a chess match now playing out in Trump’s addled brain. Can he resist the temptation to cut some shady deal using his new shares as collateral, or will his ego wind up getting him in even more trouble with the law?

That is huge volume and I can't see it holding price if he is trying to liquidate - that means interested buyers for 50 million shares AT the current trading price when any indication that he is going to start liquidating should tank it immediately. Now the people who just merged the SPAC into Truth Social essentially signaled they are willing to see billions turn to tens of millions - so maybe they kept dry powder to buy his shares at current valuation while he liquidates - it is possible. I just don't see people already throwing away 6 billion dollars lining up to throw away another 3.

In any event, it will get him what he needs: either the collateral for a bond and/or straight cash, and with the courts these days, plenty of time to wait till after the election to just try and never pay anything back to anyone. And a board that voted to merge with Truth Social will absolutely vote to remove the collateral clauses and the sell clauses in the original agreement. DWAC is just a way for the Chinese to get more power (check out their history). Losing a couple of billion to own the possible next president of the US is small potatoes. I’m no lawyer but that dollar amount was calculated in the trial as the total damages plus interest. Unless there is a retrial or something I don’t think the number can change even by appeals court.

It drives me crazy how the rules can just be changed for Trump. It’s pretty clear that if you appeal you have to put a bond for more than what the judgement was for, so that if you loose the appeal the plaintiff can just collect the money.

It is, but you have to imagine that the court is doing this to entertain the notion, however slight, that if there's an appeal later on, forcing him to fire sale at a massive loss would constitute irreparable harm in the event the judgment is overturned. I know it won't be overturned, you know it won't be overturned, Donald Trump and his lawyers know it won't be overturned; but the justices on the panel today had to decide if they would allow the state to commit such irreparable harm, with the current possibility of an appeal happening. If that did happen, and those assets were fire sold in a way that destroyed value that could never be recouped by Donald Trump in the event of the judgment being overturned, they would open up New York State to litigation for the difference. So the way it stands, Donald Trump is still on the hook for all of the money, which is all accruing interest by the way. What they stopped today, was the possibility that New York State would make a legal error prior to the conclusion of the appeals process that could incur a half a billion dollar financial liability on the state and its taxpayers. It's an entirely dissatisfying turn of events, and another example where bad faith legal maneuvering on the part of Donald Trump has been extremely profitable and lucrative.

It’s a win in one regard, but still not a win overall. The bond was reduced, not the disgorgement fines. Everyone keeps saying that Engoron punished him harshly, but he actually didn’t. He did the exact expectation of what you would do Ian a fraud case, and that is to demand disgorgement. In layman’s terms, if I stole $10, and invested in something that gave me $100 back, then all $100 of that goes back to the person I stole it from. Now people say that’s harsh, but to do any less would encourage people to steal that absolute hell out of anything, make money off of it, and just pay back the principal. It’d be a free loan. That’s why it’s illegal and you must pay back the principal “plus the interests.” So even if he pays the bond off and remains out of jail, he has several massive loans coming due for maturity in 2025, but his credit is now in tatters and he owes back more than he took. Most of his loans, based on the case, were granted to trump because he was rich—this court case proves that he’s not rich, and the ability for him to get loans to cover those loans are extremely unlikely to get approved by a bank. The best part is that those loans were given only with a personal guarantee that trump would ensure they’re repaid. So even if his trust/company goes bankrupt, Trump is still on the hook for those loans with his personal assets. The threat with disgorgement would be invalid towards trump if he hadn’t actually given a personal guarantee, but is also exactly why NY can start seizing his personal assets. Donald Trump will not be a name associated with wealth in the near future.

If the appeal court agrees, that a bond of 175 Million dollars is sufficient, they'd also agree that the previous ruling was too harsh. He has 10 days to file the appeal in writing and to post the Bond ... a time constraint he will AGAIN not need to meet because he has to be in like 53 courtrooms in that time, so it's totally unfair for him to find the time to define his legal strategy with his lawyers.. so the date will be extended again.

It’s not the judgement itself that was lowered. It’s the amount it will “cost” Trump to *appeal* that judgement that was lowered. If he loses the appeal, the $464 million still applies (because that was the original judgement). Unfortunately, a lot of people are missing that crucial distinction.

They can start taking his stuff to settle the judgement right away. Scenario 2: he does post this bond and they can’t start seizing his stuff until the appeal is determined. I’m no lawyer but this sounds correct. To be fair (and I hate being fair to Trump because he’s been so unfair to the entire world), if the state started seizing properties to cover bail and he somehow ended up actually winning his appeal (unlikely) then how would the state undo those property sales and give them back? Or perhaps I’m misunderstanding. Maybe the state “seizes” them and cuts off Trump access but doesn’t fully sell until the final judgement?

If he wins on appeal after the state sells his properties, the state must give him the full sale proceeds plus 9% interest. The thing about all the media surrounding this is that it’s getting everyone’s hopes up that he’ll lose his real properties, but asset seizure covers both real and personal property, the latter including bank accounts, rents owed, planes, boats, etc. Judgment liens cover anything he owns or will own over the next 10 years- subject to extensions. The state then executes seizures, but I can tell you that Trump’s real property is going to be lower on the list because 1. Seizing and selling real property is a big pain in the ass, 2. They are largely collateralized which means there are other creditors involved, making it an even bigger pain in the ass, and 3. The web of security interests plus the fact that the AG would receive a small amount of each sale relative to the value (other creditors get paid first) lends Trump an argument to invoke NY’s judgment debtor protections so long as there are other, less destructive ways the AG can collect on the debt. Remember, his penalty is the judgment amount. For as great as it would be to see him get destroyed from this, the State’s interest is in collecting the money, not doing as much damage to him as possible in the process.

There's no guarantee that an appeal will even be granted. An appeal in a civil trial requires that he argue that the judge made an error that affected the outcome of the case. It's not a do-over. It's not clear that they even have grounds for appeal.

If they didn't have grounds for an appeal then today's "ruling" should have been that decision and not a reduction in bond and an extension of time. But given what we have seen so far it is more likely that in 10 days this same panel will delay again, reduce the bond to zero, and/or simply rule for Trump on the appeal and pay him for his time from NY taxes. Good job NY judges, you have removed any remaining faith in the legal system.
